Initial Organization Phase

Corporate Maintenance
Following the initial business organization phase, we provide corporate maintenance services to a substantial portfolio of clients and their affiliated entities, ranging from preparation of annual reports, corporate minutes and resolutions, qualification of entities in other jurisdictions, and preparation of Beneficial Ownership Information Reports. Entities for which we perform these essential services number in the hundreds. Corporate maintenance services are typically led by our legal and administrative assistants.
HM also assists clients with conversion of companies into other forms of entity, and migrating companies to different states in certain circumstances.

Typically, extraordinary transactions such as mergers, acquisitions, joint ventures and reorganizations require the establishment of new legal structures and entities, to facilitate transactional, organizational and economic goals.
